Project Title: Support to Innovation Policy and Technology Transfer

Position Title: National Consultant on elaboration of proposals on improving legal-regulatory framework and effective mechanisms of financing the implementation of innovation projects
Reports To: Task Manager -II / Project Manager
In recent years the Government of Uzbekistan has acknowledged the need for invigorating the innovative activity as the main driver of sustainable growth. Attempts have been made to set up new institutions and a system of links and incentives to form an innovation infrastructure similar to the one observed in developed market economies. The government has been trying to institutionalize both financial instruments (ie, grant schemes, tax-relieves, venture funding) and non-financial instruments (ie, technology transfer centers, annual Innovation Fair) to stimulate innovations.
Considering the significance of innovative development for the economy at the current state of development for Uzbekistan, UNDP jointly with the Ministry of economy and the Institute for forecasting and macroeconomic researches started the implementation of project related to the development of innovative policy and technology transfer in Uzbekistan.
The project “Support to Innovation Policy and Technology Transfer” provides support to the Government of Uzbekistan in its innovation-related initiatives by concentrating on three major areas: 1) Innovation policy formulation, implementation, and monitoring and evaluation; 2) Strengthening the capacities of technology transfer offices; and 3) Support to further development of financial and non-financial instruments to stimulate technology transfer and commercialization.
In addition to that the project plans activities aimed at increasing the commercialization rate of national innovation project and technologies, as well as bridging the gap between the applied science and real-life issues in economic, social and environmental spheres. These activities will include research of different possibilities of developing financing schemes for innovation projects (start-ups), preparation of analytical report on different forms, methods and mechanisms of financing of innovation projects and proposal of optimal projects of such schemes to the Government.

Devoirs et responsabilités

During implementation of his/her work the National consultant will be guided by current Terms of Reference, as well as instructions and directions of Task Manager II and Project Manager. The responsibilities of the National Consultant includes:
• Development, under general guidance of Task manager II and in close cooperation and interaction with second member of the work team, detailed individual work plan for elaboration of proposals on improving legal-regulatory framework and effective mechanisms of financing the implementation of innovation projects in Uzbekistan in accordance with annual plan of action of the project;
• Collection of data and conducting surveys and interviews, analysis and assessment of legal-regulatory framework, current situation, forms, methods and mechanisms, constraints and opportunities for all forms of financing the implementation of innovation projects and scientific-research developments in Uzbekistan;
• Revelation of gaps in the current legal-regulatory framework of financing innovation projects (start-ups), presence of ineffective and missing legal norms, processes and procedures which practically have no appropriate mechanisms of implementation and legal regulation;
• Study of advanced foreign experience of normative and legal regulation of state and private financing, tools and mechanisms of financing the implementation of innovation projects, including venture financing, regulation of interaction between parties, variety of financing tools and institutions, normative and legal regulation of their activity, revelation of advantages and disadvantages and potential opportunities of their application in Uzbekistan;
• Summarization, in interaction with second member of the work team, of results and conclusions of analysis, surveys and interviews and drawing them into analytical report, making separate recommendations and proposals on creation and improving of legal-regulatory framework, on elaboration of effective mechanisms and schemes of financing, expanding the forms, methods and participants of financing of innovation projects (start-ups), particularly private financing, justifying varieties of instruments and institutions of financing;
• Elaboration, in close cooperation with Task manager II and second member of the work team, Terms of Reference for engaging international consultants from World Bank and/or GTZ (Gesellschaft fuer Technische Zusammenarbeit);
• Discussion and revision the main conclusions and separate components of the analytical report with international consultants, including through organization of videoconferences;
• Presentation of main conclusions and separate components of the analytical report at the round table meetings ensuring their wide and open discussion with representatives of science-research and higher educational institutions, industrial enterprises, banking and non-banking financial institutions, innovation centers and technology transfer agencies, international organizations, ministries and agencies, public organizations and other interested parties;
• Revision and finalization of the analytical report taking into account the comments and suggestions of discussion participants and interested parties, and elaboration of drafts of necessary technical documents and model forms on proposed optimal mechanisms of financing the implementation of innovation projects, preparation of proposals on making revisions and additions into acting legal-regulatory documents and their submission to the Government;
• Maintenance, in cooperation with Task manager II, of close contacts and coordination of the work with Agency for technology transfer, Institute for forecasting and macroeconomic researches, Ministry of economy, Committee for coordinating the development of science and technology, other ministries and agencies, interested local and international organizations;
• Regular reporting to the Task Manager II and the Project Manager;
• Implementation of other functions and responsibilities within the activity of the component.
IV. Key Outputs Expected
The following deliverables and indicative schedule are expected from the consultancy contract. All deliverables should be submitted by the National Consultant in Russian.
Expected Key Outputs Deadline
1. Brief analytical overview and presentation on:
a) Conducted analysis and assessment and revealed gaps in current legal-regulatory framework of financing the implementation of innovation projects and scientific-research developments in Uzbekistan;
b) Advanced foreign experience of legal and normative regulation of state and private financing of innovation projects, including venture financing, with analysis of their potential applicability in Uzbekistan. 16 July 2010

2. Preparation and submission of analytical report with concrete recommendations and proposals on creation and improving of legal-regulatory framework, on elaboration of effective mechanisms and schemes of financing, expanding the forms, methods and participants of financing of innovation projects, particularly private financing. 27 August 2010
3. Presentation of main conclusions of analytical report at round table meetings and discussion with representatives of interested parties and international consultants. 16 September
2010
4. Revision and finalization of analytical report on the basis of comments and suggestions of discussion participants. 29 October 2010
5. Elaboration of draft technical documents and forms on optimal mechanisms of financing innovation projects and their submission to the Government. 26 November 2010
The payment under this contract will be released in accordance with provided deliverables and their satisfactory evaluation by the management of the Project in following installments:
• The first part (including 20% of total remuneration) will be paid after submission of brief analytical report and presentation on the conducted analysis and evaluation of the current state in Uzbekistan and best international experience of normative and legal regulations of state and private financing of innovation projects, including venture financing, with analysis of their potential applicability in Uzbekistan;
• The second part (including 20% of total remuneration) will be paid after submission of analytical report with separate recommendations and proposals on improving the legal-regulatory framework and effective mechanisms and schemes of financing innovation projects;
• The third part (including 15% of total remuneration) will be paid after presentation of main conclusions of analytical report at round table meetings and their discussion with representatives of interested parties and international consultants;
• The forth part (including 20% of total remuneration) will be paid after finalization of analytical report taking into account comments and suggestions of discussion participants and international consultants;
• The fifth part (remaining 25%) will be paid after elaboration of draft technical documents and forms on optimal mechanisms of financing innovation projects and their submission to the Government.

Qualifications et expériences requises

Education: University degree in law (commercial or economy law)
Experience: At least 5 years of work experience in the legal services of commercial bank or financial organization, or in the field of finance or associated to finance fields in the position of lawyer or teacher of jurisprudence.
Knowledge and work experience in elaboration of methodic and legal-regulatory acts, technical procedures and manuals in the field of commercial crediting, project financing, financial and investment analysis of the projects, risk management, as well as understanding of peculiarities of bank and project financing.
Languages: Fluency in Russian language, knowledge of English and Uzbek languages is an advantage
